Affiliate Program Terms

Veyce ("Veyce," "we," "us," or "our") operates an affiliate referral program ("Program") that allows qualified participants ("Affiliates") to earn commissions by referring new paying customers to the Veyce service.

By enrolling in or participating in the Program, you agree to be bound by these Affiliate Program Terms ("Affiliate Terms") in addition to the Veyce Terms of Service, which are incorporated by reference. In the event of a conflict between these Affiliate Terms and the Terms of Service, these Affiliate Terms govern with respect to the Program.

No guaranteed earnings. Nothing in these Affiliate Terms or the Program constitutes a guarantee of income. Commission amounts depend entirely on the number and value of active paying referrals.

To participate in the Program, you must:

• Have an active Veyce account in good standing
• Be at least 18 years of age
• Be legally permitted to participate in referral programs in your jurisdiction
• Agree to and comply with these Affiliate Terms in full

Veyce reserves the right to accept or reject any applicant for any reason, and to revoke any Affiliate's participation for violation of these terms or for conduct detrimental to the Veyce brand.

Upon enrollment, each Affiliate receives a unique referral link. Referrals are attributed to the Affiliate whose link was last clicked by a prospect before that prospect creates a paid Veyce account. The attribution window is 90 days from the last click.

Self-referrals prohibited. Affiliates may not use their own referral link to create accounts for themselves, their organization, or individuals they control. Self-referrals will be disqualified and may result in termination.

Veyce reserves the right to modify attribution methodology with 30 days' notice.

Commissions are calculated as a percentage of the monthly recurring revenue ("MRR") generated by your active referrals. Your commission rate is determined by your total MRR from active referrals at the time of each payout calculation.

Tier upgrades and downgrades apply automatically at the beginning of each payment calculation cycle. Your rate reflects your total active referral MRR at calculation time, not the rate at the time of each individual referral's signup.

Excluded transactions. Commissions apply only to recurring subscription payments. One-time payments (including add-ons, setup fees, or any non-recurring charges) are excluded from commission calculations.

Adjustments. If a referral upgrades, downgrades, pauses, or cancels their subscription, your commission adjusts accordingly starting the following cycle. If a referral cancels and resubscribes, they are treated as a new referral only if they re-sign up through your referral link within the attribution window.

Payout schedule: Commissions are calculated monthly and paid 30 days after the close of each calendar month (NET-30). For example, commissions earned in January are paid no later than March 1.

Minimum payout: The minimum payout threshold is $50 USD. If your earned commission for a month is below $50, it carries forward and accumulates until the threshold is reached.

Payment method:Payment method details will be provided upon enrollment. Veyce reserves the right to change payment methods with 30 days' notice.

Taxes. You are solely responsible for all taxes arising from commissions you earn. US-based Affiliates earning $600 or more in a calendar year must provide a valid IRS Form W-9 before payment can be issued. Non-US-based Affiliates may be required to provide Form W-8BEN or equivalent documentation. Failure to provide required tax documentation will delay payment until documentation is received.

Clawbacks.If a referral's payment is reversed, refunded, or charged back, the corresponding commission will be deducted from your next payout or offset against future commissions. Veyce reserves the right to withhold payment on commissions suspected to involve fraud or policy violations.

Affiliates may not:

• Use spam, unsolicited messages, or any communication that violates CAN-SPAM, CASL, GDPR, or any other applicable law to promote their referral link
• Make false, misleading, or unauthorized representations about Veyce or its products
• Use cookie stuffing, forced clicks, incentivized clicks, or any form of fraudulent attribution
• Bid on Veyce's branded keywords in paid search campaigns
• Create fake accounts, self-refer, or refer the same individual multiple times
• Use automated systems or bots to generate referral clicks or signups
• Offer cash rebates, discounts, or other inducements to referred parties without Veyce's prior written consent
• Fail to clearly and conspicuously disclose your material connection to Veyce when promoting the Service or sharing your referral link in any public communication, as required by FTC 16 CFR Part 255 and any equivalent regulations in your jurisdiction. All promotional content must include a clear disclosure such as "I earn a commission if you sign up through my link" or equivalent language

Violations of this section may result in immediate termination, forfeiture of all pending commissions, and recovery of commissions already paid in connection with the violation.

Either party may terminate participation in the Program at any time upon written notice. Upon termination, no new referral commissions will accrue. Commissions already earned on active referrals at the time of termination will be paid out at the next scheduled payout date, subject to the minimum payout threshold.

Veyce may terminate an Affiliate's participation immediately and without notice in the event of fraud, policy violations, or conduct that Veyce determines, in its sole discretion, is harmful to the Veyce brand or business.

Veyce may terminate the Program in its entirety upon 30 days' written notice to active Affiliates. In the event of Program termination, all earned commissions will be paid out at the final payout date.

Affiliates are independent contractors and are not employees, agents, partners, or joint venturers of Veyce. Affiliates have no authority to bind Veyce to any contract or obligation. Affiliates are solely responsible for their own taxes, insurance, and business expenses.

Veyce reserves the right to modify these Affiliate Terms, commission rates, or tier thresholds at any time. We will provide at least 30 days' notice of material changes by email or by posting a notice in the application. Your continued participation in the Program after the effective date of changes constitutes acceptance.

Veyce may modify commission rates applicable to new referrals without affecting the rate applicable to referrals whose first payment occurred before the effective date of the change, for a maximum grandfathering period of 3 months.

The Program is provided "as is." Veyce makes no warranties, express or implied, regarding the Program or the amount of commissions you may earn. Veyce's liability to you under these Affiliate Terms is limited to unpaid commissions earned in the ninety (90) days preceding the event giving rise to the claim. Veyce is not liable for any indirect, consequential, or punitive damages arising from your participation in the Program.

These Affiliate Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes arising from these Affiliate Terms are subject to the arbitration provision and class action waiver in the Veyce Terms of Service.
